Terms of Service
These Terms of Service govern your access to and use of the AloraPay platform. By creating an account or using our Services as a restaurant operator or guest, you agree to be bound by these Terms. Please read them carefully.
Key points: AloraPay provides a table ordering and payment platform for the hospitality industry. These Terms form a binding legal agreement between you and AloraPay Ltd. If you do not agree to these Terms, you may not use our Services.
Account Registration
For Restaurant Operators
To access the AloraPay admin dashboard and deploy the platform at your establishment, you must register as a Merchant. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain and promptly update your account information.
- Keep your login credentials confidential and not share them with unauthorised parties.
- Notify us immediately at support@alorapay.com if you suspect unauthorised access to your account.
- Accept responsibility for all activities that occur under your account.
Eligibility
You must be at least 18 years of age and have legal authority to enter into a binding contract on behalf of the business entity you register. By registering, you represent that you have such authority.
Platform Use
Permitted Use
AloraPay grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the platform solely for your restaurant's internal operations — enabling guests to view menus, place orders, and make payments at your establishment.
Prohibited Conduct
You agree not to:
- Use the platform for any unlawful purpose or in violation of any applicable law or regulation.
- Attempt to gain unauthorised access to any part of the platform or its related systems.
- Reverse engineer, decompile, or disassemble any component of the AloraPay platform.
- Introduce malware, viruses, or other harmful code.
- Use automated scripts to scrape, crawl, or extract data from the platform.
- Misrepresent your identity or affiliation with any entity.
- Resell, sublicense, or otherwise transfer your rights under these Terms.
Merchant Obligations
As a Restaurant Operator using AloraPay, you are responsible for:
Menu Accuracy
Ensuring all menu items, descriptions, prices, allergen information, and availability displayed on the AloraPay platform are accurate and up to date. AloraPay is not liable for errors arising from inaccurate menu data provided by you.
Order Fulfilment
Fulfilling all orders placed by guests through the platform promptly and in accordance with the displayed menu. You bear full responsibility for the quality, preparation, and delivery of food and beverages.
Regulatory Compliance
Complying with all applicable food safety, health, licensing, and business regulations in your jurisdiction. AloraPay does not assume responsibility for your compliance with local laws.
Guest Data Handling
Treating guest data received through the platform in accordance with applicable data protection laws and our Privacy Policy. You may not use guest data for purposes other than fulfilling their order and managing your business relationship with AloraPay.
Staff Training
Ensuring your staff are appropriately trained to use the AloraPay admin dashboard and to support guests who may have questions about the platform.
Guest Terms
When you use AloraPay as a guest at a participating restaurant, the following terms apply:
- Ordering: By submitting an order through the platform, you enter into a contract for the purchase of food and beverages directly with the restaurant, not with AloraPay. AloraPay facilitates the transaction but is not a party to the food service contract.
- Accuracy: You are responsible for reviewing your order before submission. Once an order is confirmed and routed to the kitchen, it may not be possible to modify or cancel it.
- Payment: Payment is processed securely at the time of submission. You authorise AloraPay to charge the payment method you provide for the amount displayed at checkout.
- Disputes: Any disputes regarding food quality, order accuracy, or service are between you and the restaurant. AloraPay may assist with payment disputes at its discretion.
Payments & Fees
Merchant Subscription
Access to the AloraPay platform for Restaurant Operators is subject to a subscription fee, as set out in your merchant agreement or as displayed at the time of sign-up. Fees are billed monthly or annually in advance and are non-refundable except as expressly stated.
Transaction Fees
AloraPay charges a per-transaction processing fee on payments made by guests through the platform. Current fee schedules are available in your Merchant Dashboard. AloraPay reserves the right to amend transaction fees with 30 days' written notice.
Payouts
Collected funds, less applicable fees, will be remitted to your registered bank account on the schedule specified in your merchant agreement. Payout timelines may vary based on your jurisdiction and banking provider.
Taxes
You are responsible for determining and remitting all applicable taxes on your sales. AloraPay may collect applicable taxes where required by law and will provide documentation to support your tax obligations.
Important: AloraPay is a technology platform and payment facilitator — not a bank. Funds held pending payout are not insured by any government deposit scheme.
Intellectual Property
AloraPay's IP
The AloraPay platform, including its software, design, trademarks, logos, and documentation, is the exclusive property of AloraPay Ltd. or its licensors. These Terms do not grant you any ownership rights. You may not use AloraPay's trademarks or branding without our prior written consent.
Your Content
You retain ownership of any content you upload to the platform, including menu items, descriptions, images, and business information. By uploading content, you grant AloraPay a non-exclusive, royalty-free licence to use, display, and reproduce that content solely to operate and improve the platform.
Feedback
If you submit suggestions, feedback, or ideas about the platform, AloraPay may use them freely without obligation or compensation to you.
Limitation of Liability
To the maximum extent permitted by applicable law, AloraPay and its officers, directors, employees, and agents shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages.
- Loss of profits, revenue, data, or business opportunities.
- Damages arising from errors or inaccuracies in merchant-provided menu content.
- Service interruptions, outages, or data loss resulting from factors outside our reasonable control.
- Any third-party products or services connected to the platform.
In no event shall AloraPay's aggregate liability to a Merchant exceed the total fees paid by that Merchant in the 12 months preceding the event giving rise to the claim.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
Indemnification
You agree to indemnify, defend, and hold harmless AloraPay Ltd. and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the platform in violation of these Terms.
- Your breach of any applicable law or regulation.
- Any dispute between you and a guest related to food quality, service, or order fulfilment.
- Any content you upload to the platform that infringes a third party's rights.
Termination
By You
You may terminate your merchant account at any time by contacting support@alorapay.com. Termination does not entitle you to a refund of pre-paid subscription fees, except as required by applicable consumer protection laws.
By AloraPay
We may suspend or terminate your account immediately if we reasonably believe you have materially breached these Terms, engaged in fraudulent activity, or posed a risk to the platform or its users. We will give you reasonable notice where practicable, except where immediate action is required for security or legal reasons.
Effect of Termination
Upon termination, your access to the platform will cease. We will retain transaction and account data as required by law and our Privacy Policy. Provisions of these Terms that by their nature survive termination shall remain in effect.
Governing Law
These Terms are governed by the laws of Trinidad and Tobago. For Merchants operating in other territories, additional or alternative governing law provisions may apply as specified in your merchant agreement.
Any disputes arising under these Terms that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the courts of Trinidad and Tobago, unless local mandatory law provides otherwise.
Changes to Terms
AloraPay may update these Terms from time to time. We will notify Merchants of material changes via email at least 30 days before the new Terms take effect. Your continued use of the platform after the effective date constitutes acceptance of the updated Terms.
If you do not agree with the revised Terms, you must cease using the platform and contact us to close your account before the effective date.
